Terms of Service

The agreement between you and Mesedi.

By creating an account or sending events through our SDKs, you agree to these terms. We tried to write them in plain English. If something is unclear, email legal@verdifax.com and we will explain it.

Who you're agreeing with

Mesedi is a service operated by Verdifax, LLC (d/b/a Mesedi), a Delaware limited liability company. In these Terms, "we," "us," and "Mesedi" refer to Verdifax, LLC. "You" means the person or organization using the service.

What the service is

Mesedi observes AI agent runs to detect failures, halt runaway executions, and route the first occurrence of a new failure pattern to your team. Eight failure-class detectors run against the event stream as it arrives, cluster related failures into named groups, and fire a webhook the first time each pattern appears.

The backend, SDKs, and dashboard source are MIT-licensed and available on GitHub. You may self-host the entire system for free under that license. These Terms cover use of the hosted service at mesedi.vercel.app and the API at mesedi-api.fly.dev, not self-hosted deployments, self-hosted deployments are governed by the MIT License alone.

Account terms

You must be at least 18 years old to create an account. Mesedi is built for professionals running production AI systems; it is not intended for personal use by minors.

You are responsible for keeping your API keys secret and for everything that happens under your account. If you suspect a key has been compromised, rotate it in the dashboard immediately and email security@verdifax.com.

One organization should sign up as one project. Splitting a single team across multiple Hobby-tier accounts to evade the monthly quota is a violation of these Terms and grounds for suspension.

Payment and subscriptions

Cloud Hobby is free and includes 5,000 agent executions per month. Cloud Pro is $29 per month and includes 100,000 executions per month; overage executions past that limit are billed at $0.001 each. Cloud Enterprise pricing is custom and negotiated separately.

All payments are processed by Stripe. By upgrading you agree to Stripe's terms in addition to ours. Subscriptions renew monthly until canceled. You can cancel from the Manage subscription button on the billing page; cancellation takes effect at the end of the current billing period.

We do not offer refunds for unused portions of a billing period. If your account was charged due to a billing error, email billing@verdifax.com and we will fix it.

Acceptable use

You may not use Mesedi to:

Send agent telemetry that you do not have the right to send. If your agent processes data belonging to your end users, you are responsible for having the necessary consent and for redacting whatever should not be retained.

Reverse-engineer our detector logic for the purpose of shipping a competing product. Reading the open-source code is fine; lifting our detector heuristics into a clone is not.

Probe our infrastructure for vulnerabilities outside of a good-faith security disclosure (see /security). Authorized testing is welcomed; unauthorized testing is not.

Send malware, spam, content that infringes third-party rights, content that exploits minors, or content that violates applicable law.

Your data stays yours

You retain all rights to the agent telemetry you send us. We receive a limited license to process it solely to provide the service (run detectors, render the dashboard, dispatch webhooks). We will not train AI models on your data, sell it, or share it with anyone outside the sub-processors listed in our Privacy Policy.

You can export everything we have on you at any time, and you can request deletion. Both are covered in the Privacy Policy.

Our software stays ours

The Mesedi service, dashboard, detector logic, and brand are owned by Verdifax, LLC. The MIT License grants you broad rights to use, modify, and distribute the source code; it does NOT grant rights to our trademarks (the Mesedi name, the shield logo). If you fork the project and run it for others, please pick a different name.

The service is provided 'as is'

We work hard to make Mesedi reliable, but we do not warrant that it will be uninterrupted, error-free, or that the detectors will catch every failure pattern. Mesedi is a safety layer; it is not a substitute for testing, code review, or your own operational vigilance.

To the maximum extent permitted by law, Mesedi is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Verdifax, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Mesedi. Our total aggregate liability to you for any claim related to the service is limited to the amount you paid us in the twelve months before the claim arose, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold Verdifax, LLC harmless from claims arising out of your violation of these Terms, your misuse of the service, or content you sent us that you did not have the right to send.

Closing your account

You can close your account at any time:

From the dashboard: delete your project from your customer billing page, or use the data-export workflow first if you want a copy before deletion.

By email: send a request to privacy@verdifax.com and we will purge your project within 30 days.

Suspension for non-payment

If your Stripe subscription enters past_due status, meaning your card was charged and the charge failed, and Stripe is retrying in the background, we will email you within one business day.

If the subscription remains past_due fourteen days after that first email and is not reactivated, your project's tier auto-reverts to Cloud Hobby. Cloud Hobby is free and continues to work at the 5,000 executions per month cap. No data is deleted at this step.

If the account remains inactive for ninety days after the tier revert, we may purge the project and all associated telemetry. We will send a final email fourteen days before the purge with a link to either reactivate or export your data.

Suspension or termination for cause

We may suspend or terminate your account immediately and without the standard notice period if any of the following occur:

Confirmed unlawful content in the data you send us , in particular content that we are legally obligated to preserve and report, such as child sexual abuse material.

An active infrastructure attack on Mesedi originating from your project , denial-of-service traffic, attempted lateral movement, or behavior that threatens service availability for other customers.

Confirmed abuse of a compromised credential , your API key is being used in ways inconsistent with your normal pattern in a way that suggests it was leaked or stolen. Suspension here is protective of your account, not punitive.

Confirmed fraud , chargebacks beyond a routine threshold, use of stolen payment credentials, or coordinated fake-signup activity.

Receipt of a court order, subpoena, or other binding legal instrument that requires immediate action.

Material breach of the Acceptable Use section above where continuing to host you would expose us to legal or reputational risk.

In each of these cases we will email you to explain what happened within twenty-four hours of the action, unless a legal restraint (gag order, ongoing investigation) prevents it.

Changes to these terms

We may update these Terms when our service or business changes. For changes that materially affect your rights we will notify you by email and a dashboard banner at least 14 days before they take effect. Continuing to use Mesedi after the notice period constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute that the parties cannot resolve through good-faith discussion will be resolved by the state and federal courts located in Delaware.
